Overview
Hive Computing Services SA (“Hive,” “we,” “us”) provides distributed computation services through Compute with Hivenet. Using Compute, you can purchase credits to rent virtual instances with differing computational capacities on an hourly basis, suited for various workloads. These instances operate on Hivenet’s infrastructure, allowing for cost-effective cloud computing powered by Hivenet’s distributed network.
Please read these Terms of Use carefully before using Compute. By using our services, you agree to be bound by these terms. If you do not accept these Terms of Use, you are not authorized to use Compute.
Purpose
The purpose of these General Terms of Use is to define the respective rights and obligations of Hivenet and the Client in connection with the use by the Client of the Services provided by Compute by Hive.
Service Description
Compute offers a distributed computation service allowing users to rent virtual instances with varying computational capacities on an hourly basis. Users have choices between differing levels of quality within our product based on the price they are willing to pay.
These instances are ideal for data-intensive tasks but do not serve as long-term storage solutions. Users are responsible for managing any data they use or generate in connection with the service.
Limitation of Liabilities for the duration of the Private Beta
Restrictions on Use and Limitation of Liability:
Primarily Non-Commercial Use with Permissive Clause: The Partner acknowledges that the primary purpose of using hiveCompute services under this agreement is for testing, evaluation, and development. However, the Partner may use the results, data, or intellectual property produced for commercial purposes. In doing so, the Partner accepts full responsibility for any commercial use and acknowledges that Hive Computing Services SA will not be held liable for any outcomes, issues, or claims arising from such commercial use.
Limitation of Liability: Hive Computing Services SA shall not be held responsible for any outcomes, results, or data generated by the Partner's use of hiveCompute services. The Partner acknowledges that all computing jobs and tasks performed using Hive's infrastructure are conducted at the Partner's own risk. Hive disclaims all liability for any losses, damages, or claims arising from the use or inability to use the computing results provided through hiveCompute.
Limitation of Free Credit Grants
Hivenet provides up to $850 of free credits for users who join the private beta. Any unused credits after 90 days of non-use will expire from the date of first sign up.
Privacy Policy, Data Policy, And Cookies Policy
Hivenet collects only necessary information for account management, service provision, and communication. This includes data required to facilitate account setup and support. Refer to our Privacy Policy for full details. By using Compute, you agree to these policies and are responsible for compliance with applicable data protection laws (e.g., GDPR).
You are both responsible and accountable for ensuring compliance with relevant data protection obligations, particularly if you are processing regulated data on behalf of other entities. Delegating access to your account inherently transfers the responsibility for all resulting activities and actions directly to you as the account holder.
Limitation Of Data Storage And Service Availability
Compute is not a long-term storage solution; rather, it provides computational resources for temporary use. The secure handling, storage, and management of data within your instances are your responsibility. We recommend maintaining external, secure backups of important data to safeguard against potential loss, as Hivenet does not offer guarantees for data restoration.
Instances are automatically billed per second, and users must have at least one hour's worth of credits in their account balance to start an instance. Running instances will terminate when credits are depleted, with a 5-minute warning notice before shutdown.
In cases where we discontinue Compute for reasons unrelated to user conduct, we will provide 30 days’ notice, if feasible, to retrieve data remaining in the system.
Account Security
To access Compute, create a secure password and manage your SSH keys carefully. If you suspect a security breach, notify us immediately. We cannot be held liable for actions taken through unauthorized access to your account if caused by compromised credentials.
Compliance With Legislation In Force
It is your responsibility to ensure that you comply with all relevant laws and regulations that apply to the Services and how you use them. This means avoiding actions that infringe on third-party rights or damage Hivenet’s reputation. You also need to implement and maintain compliance measures to meet the legal, regulatory, and contractual requirements tied to your activities.
Hivenet is not legally obligated to monitor or investigate for unlawful activity. However, if you or your users fail to follow these requirements, Hivenet may take immediate action, including suspending or terminating the Services or Contract. We reserve the right to take any additional actions necessary as follows:
- Any content shared, circulated, or hosted through the Services must align with the laws, regulations, and ethical charters in effect globally, in addition to the section below on Prohibited Uses. The dissemination of content that incites unlawful behavior, including felonies, crimes, or actions of hatred, discrimination, or violence—especially those rooted in ethnicity, nationality, race, religion, gender, sexual orientation, identity, or disability—is strictly prohibited. This prohibition also extends to content promoting terrorism, crimes against humanity, or child exploitation.
- The distribution or hosting of content that is violent, promotes terrorism, violates human dignity, or incites minors to engage in harmful activities that threaten their physical well-being, as well as pornographic content, is strictly prohibited. This applies particularly to material that could be accessible to minors.
- You must ensure that neither your actions nor the content you distribute or access using the Services infringe on third-party rights. This includes, but is not limited to, refraining from the dissemination of content that may involve defamation, abuse, disparagement, privacy violations, breaches of societal norms, or disruption of public order. Content featuring abusive, violent, or hateful expressions is not permitted under any circumstances.
- You must not engage in hacking or attempt to compromise third-party computer systems. Similarly, any attempt to bypass Hivenet’s access restrictions or security measures is prohibited. Using the Services in a manner that undermines the stability or security of Hivenet’s systems, impacts the performance experienced by other clients, or facilitates malicious activities (e.g., botnets, spreading viruses) is strictly forbidden. Sending emails unlawfully, including spam campaigns or email bombings, is also not permitted.
- You are required to avoid conducting or attempting any unauthorized intrusions into Hivenet’s systems, including its platform, shared services, or resources provided to other clients. Penetration testing is only allowed when explicitly approved by Hivenet through a formalized agreement.
- Harmful practices such as cryptocurrency mining, unethical SEO practices (e.g., Black Hat SEO), spamming, reverse engineering, botnet usage, and DOS/DDOS attacks are strictly forbidden.
Payment Obligations
Compute operates on a pre-paid credit model. Users purchase credits in euros, and each instance is billed per second based on usage. Credits are non-refundable and cannot be withdrawn; they are solely for Hivenet services.
Prohibited Uses
Users are prohibited from using Compute for illegal activities, such as but not limited to:
- Infringing on intellectual property.
- Money laundering, financing unlawful activities, tax evasion
- Sending spam or unauthorized communications.
- Engaging in harassment, abuse, or defamation.
- Introducing malware or attempting unauthorized access to any part of Hivenet.
Violations of these terms may result in immediate suspension or termination of access.
Disclaimer Of Warranties; Limitation Of Liability
Compute is provided “as is.” We strive to maintain 24/7 availability.
To the fullest extent permitted by law, we disclaim all warranties, including fitness for purpose and non-infringement. Our liability for damages related to Compute will not exceed the most recent subscription amount you paid.
Copyright Infringement Notice
We respect intellectual property rights. You are responsible for ensuring any data processed on Compute complies with copyright and other intellectual property laws. For suspected copyright violations, please contact our designated representative listed on our contact page.
Instance Billing, Storage, And Network Volume
Instances are billed per second based on your chosen configuration. If your credit balance is insufficient, the instance will be terminated within 30 days.
Data Protection And Security
Your data is isolated in a multi-tenant environment with strong data isolation protocols. Data is encrypted and protected to prevent access by other users or providers. Our infrastructure is designed to minimize data exposure to our machine providers and other users.
Support And Account Management
For support, you may contact us via email (support@hivenet.com). You can delete your account at any time through the user account section in the Compute console. Note that credits are non-refundable upon account termination.
Force Majeure
We will not be liable by reason of any failure or delay in the performance of our obligations because of events beyond our reasonable control, which may include, without limitation, denial-of-service attacks, strikes, shortages, riots, insurrection, epidemics, pandemics, fires, flood, storm, explosions, acts of God, war, terrorism, governmental action, labor conditions, earthquakes, material shortages, extraordinary internet congestion or extraordinary connectivity issues or failure of a third party host, (each a “Force Majeure Event“). Upon the occurrence of a Force Majeure Event, we will be excused from any further performance of the obligations affected by that Force Majeure Event for so long as the event continues.
Compliance And Legal Standards
Compute is compliant with GDPR and other relevant data protection standards. Users are encouraged to understand their compliance responsibilities, particularly if processing personal data on behalf of third parties.
Entire Agreement And Modifications
These Terms of Use, along with our Privacy and Cookie Policies and any specific plan terms, constitute the entire agreement between you and Hivenet regarding Compute. We may update these terms with 30 days’ notice, and your continued use of the service indicates acceptance of the changes.
Applicable Law And Dispute Resolution
These terms are governed by Swiss law, and disputes will be settled via arbitration in Geneva, Switzerland, under Swiss Rules of International Arbitration, conducted in English.
